1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the Mapping Travel hotel property matching API and related services (collectively, the "Service") operated by Mapping Travel ("Company", "we", "us", "our"). By accessing, registering for, or using the Service you agree to be bound by these Terms. If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization, in which case "you" or "Customer" refers to that organization.
If you do not agree to these Terms, do not access or use the Service.
2. Definitions
The following capitalized terms have the meanings set out below:
- •"Service" means the hotel property matching API, dashboard, documentation, and any related software or services made available by Mapping Travel.
- •"Customer Data" means data submitted by Customer to the Service, including hotel inventory files, identifiers, and metadata.
- •"Subscription" means the paid plan or credit allocation purchased by Customer to access the Service.
- •"Documentation" means the official API and product documentation we publish.
3. Accounts and Access
You must create an account to access the Service. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.
You are responsible for safeguarding your account credentials and API keys, for all activity that occurs under your account, and for notifying us promptly of any unauthorized access or use.
4. Subscriptions, Fees, and Billing
Access to the Service is provided on a subscription or pay-per-credit basis as described on our pricing page or in an order form. Fees are billed in advance and are non-refundable except as required by law or as expressly stated in these Terms.
Payments are processed by third-party payment processors (including Stripe). By providing payment information you authorize us and our processors to charge the applicable fees. Taxes are your responsibility unless explicitly included in your invoice.
5. License and Acceptable Use
Subject to your compliance with these Terms and payment of applicable fees, Mapping Travel grants you a limited, non-exclusive, non-transferable, non-sublicensable right during the term of your Subscription to access and use the Service for your internal business purposes.
- •You will not resell, sublicense, or otherwise commercially exploit the Service or Service output except as expressly permitted in your Subscription.
- •You will not reverse engineer, decompile, or attempt to derive the source code or underlying models of the Service.
- •You will not use the Service to build a competing product or to train a competing machine-learning model.
- •You will not attempt to circumvent usage limits, rate limits, authentication, or other Service safeguards.
- •You will not upload Customer Data that you do not have the legal right to process, or data that infringes the rights of third parties.
- •You will comply with all applicable laws and regulations in connection with your use of the Service.
6. Customer Data
As between the parties, Customer retains all right, title, and interest in and to Customer Data. Customer grants Mapping Travel a worldwide, royalty-free license to host, process, transmit, and display Customer Data solely to provide and improve the Service and as otherwise permitted by these Terms and our Privacy Policy.
You are responsible for the accuracy, quality, and legality of Customer Data and for obtaining all consents required to submit it to the Service.
7. Intellectual Property
The Service and Documentation, and all intellectual property rights therein, are and remain the exclusive property of Mapping Travel and its licensors. Except for the limited rights expressly granted in these Terms, no rights are granted to you by implication, estoppel, or otherwise.
Feedback you provide about the Service is non-confidential, and you grant Mapping Travel a perpetual, irrevocable, royalty-free license to use it without restriction.
8. Confidentiality
Each party may receive non-public information of the other party ("Confidential Information"). The receiving party will use the same degree of care to protect Confidential Information as it uses for its own confidential information (and no less than reasonable care), will not disclose Confidential Information to third parties except to its employees and contractors with a need to know who are bound by confidentiality obligations, and will use Confidential Information only to exercise its rights and perform its obligations under these Terms.
9. Service Availability and Modifications
We work hard to keep the Service available and performant, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features at any time, and will use reasonable efforts to notify you of material changes that adversely affect existing functionality.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, MAPPING TRAVEL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT MATCHING OR MAPPING RESULTS WILL BE 100% ACCURATE OR COMPLETE.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
EACH PARTY'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER TO MAPPING TRAVEL IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
12. Indemnification
You will defend, indemnify, and hold harmless Mapping Travel and its affiliates from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service in breach of these Terms, (b) Customer Data, or (c) your violation of applicable law or the rights of any third party.
13. Term and Termination
These Terms begin on the date you first access the Service and continue until terminated. Either party may terminate for material breach if the breach is not cured within thirty (30) days of written notice. We may suspend or terminate the Service immediately for non-payment, suspected abuse, or to comply with legal requirements.
Upon termination, your right to use the Service ends and we may delete Customer Data after a reasonable retention period. Sections that by their nature should survive termination (including IP, confidentiality, disclaimers, limitation of liability, indemnification, and miscellaneous) will survive.
14. Modifications to These Terms
We may update these Terms from time to time. If a change is material, we will provide reasonable notice (for example, by email or an in-product notice) before it takes effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
15. Governing Law and Disputes
These Terms are governed by and construed in accordance with applicable law, without regard to conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the courts located in the agreed venue, and waive any objection to that venue.
